💼 Services and Scope

💷 Payment Terms

? Choose the payment model that suits the work: hourly for time-based, fixed for project-based, daily for short contracts, or retainer for ongoing availability.
? Payment deadline from invoice date. UK law allows 8% interest + £40-100 debt recovery costs on late payments (Late Payment Act 1998).
? Freelancers typically cover own expenses unless pre-approved. Common reimbursable: travel, materials, software licenses. Always require receipts.
? If contractor is VAT registered (£90k+ turnover), they must charge VAT. Client can usually reclaim if VAT registered. Fees quoted are typically exclusive of VAT unless stated.

📍 Working Arrangements

? Remote work is standard for freelancers. If client site attendance required, specify frequency and whether travel expenses covered.
? Freelance contracts typically have shorter notice periods than employment (often 1-4 weeks). Can be immediate for per-project work.
? CRITICAL for IR35: True freelancers should have substitution rights. If you require this specific person with no substitution, it may indicate employment relationship for tax purposes.

💡 Intellectual Property Rights

? Default UK law: contractor owns IP unless contract assigns it. "On creation" = automatic transfer. "On payment" = transfers when fully paid. Important for commissioned work.

🛡️ Insurance & Liability

? PI insurance covers claims from errors/negligence in professional services. £1-2m coverage is standard. Some clients require proof before contract starts.
? Maximum contractor liability for losses. Common to cap at fees paid or insurance coverage. Cannot limit liability for death/injury, fraud, or IP infringement.

📋 IR35 & Tax Status

IR35 Notice: Medium/large private sector clients must determine IR35 status. If inside IR35, client deducts tax/NI. Key factors: substitution rights, control, mutuality of obligation, equipment provision, financial risk.
? Client must assess (for medium+ companies). Outside IR35 = genuine business-to-business. Inside IR35 = deemed employment, client deducts PAYE. Use HMRC's CEST tool.
