Testing & Acceptance Criteria

🔒 Confidentiality

? Standard for most projects. High level for sensitive business data or proprietary systems.

⚖️ Liability & Warranty

? Limits your liability. Typically 100% of fees paid. Essential for risk management.
Key Exclusions: Developer not liable for third-party services, client-provided content, hosting issues, or losses due to client's failure to backup data.

🚪 Termination Rights

? Written notice required to end agreement early. Both parties should have this right.
? What happens to payment if project ends early. Protect yourself from unpaid work.
Either party can terminate for material breach. Developer can suspend work for non-payment. IP rights only transfer on full payment.
